Terms of Use

Welcome to SwapMingle. These Terms of Use (“Terms”) govern your access to and use of the SwapMingle mobile application, website, and related services (“SwapMingle,” the “Service,” “we,” “us,” or “our”).

By creating an account or using SwapMingle, you agree to these Terms.

1. ELIGIBILITY

You must be at least 13 years old to use SwapMingle.

If you are under the age of majority where you live, you may use SwapMingle only with the permission of a parent or legal guardian where required by applicable law.

You may not use SwapMingle if you are prohibited from using the Service under applicable law.

2. YOUR ACCOUNT

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You agree to provide accurate information and to keep your account information reasonably current.

You may not impersonate another person, misrepresent your identity, or create an account for fraudulent or abusive purposes.

3. WHAT SWAPMINGLE DOES

SwapMingle is a social exchange platform that helps users discover items, communicate with other users, negotiate exchanges, make Cash Offers, participate in Groups, and share Swap Stories.

SwapMingle is not a party to exchanges, sales, meetups, or other arrangements between users.

Users are responsible for deciding whether, when, where, and how to complete an exchange.

4. USER CONTENT

“User Content” includes information or material that users submit, post, upload, transmit, or otherwise make available through SwapMingle, including:

• profile information
• photographs
• item listings and descriptions
• messages
• comments
• reviews and ratings
• Swap Stories
• Group content
• Cash Offer information
• website or social-media links
• other text, images, or materials

You retain ownership of your User Content.

By submitting User Content to SwapMingle, you grant SwapMingle a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, and otherwise use that content as reasonably necessary to operate, provide, improve, and promote the SwapMingle service.

This license continues for as long as your User Content remains available through the Service, subject to our Privacy Policy and account-deletion practices.

You represent and warrant that:

• you own your User Content or otherwise have the necessary rights and permissions to submit it;
• your User Content does not infringe another person’s copyright, trademark, privacy, publicity, or other rights;
• your User Content does not violate applicable law; and
• you have permission from identifiable people appearing in content where permission is legally required.

Do not upload copyrighted photographs, artwork, music, video, logos, or other material unless you have the right to use it.

5. PROHIBITED CONTENT AND CONDUCT

You may not use SwapMingle to:

• engage in unlawful, fraudulent, deceptive, threatening, harassing, or abusive conduct;
• impersonate another person;
• infringe intellectual-property or privacy rights;
• post content that is intentionally hateful, threatening, sexually exploitative, or otherwise unlawful;
• distribute malware, spam, scams, or deceptive links;
• interfere with or attempt to compromise SwapMingle systems;
• scrape or collect information from the Service through unauthorized automated means;
• manipulate ratings, reviews, matches, activity, or other features;
• use SwapMingle to facilitate prohibited or illegal transactions;
• post or offer items whose possession, sale, transfer, or exchange is prohibited by applicable law.

Users remain responsible for complying with applicable laws governing items they list or exchange.

6. USER SAFETY AND MEETUPS

SwapMingle may help users arrange in-person exchanges, but SwapMingle does not supervise or control those meetings.

Use appropriate judgment when interacting with people you do not know.

Where practical:

• meet in a public location;
• tell someone where you are going;
• inspect items before completing an exchange;
• avoid sharing unnecessary sensitive personal information; and
• discontinue an interaction if you feel unsafe.

You assume responsibility for your interactions and exchanges with other users.

7. SWAPS AND NEGOTIATIONS

Users may propose exchanges involving one or more items.

A proposal, WANT, match, message, or negotiation does not itself create a legally binding transaction through SwapMingle.

Users are responsible for reaching their own agreement and completing any exchange outside of SwapMingle’s role as a communications platform.

SwapMingle does not guarantee:

• item condition;
• authenticity;
• ownership;
• value;
• legality;
• safety;
• accuracy of a listing; or
• completion of an exchange.

8. CASH OFFERS

SwapMingle allows users to communicate proposed monetary amounts through Cash Offers.

SwapMingle does not process payments, hold funds, transmit money, store payment-card information, or act as a payment processor.

Any payment or transfer of funds agreed to between users occurs independently of SwapMingle.

Users are solely responsible for the legality, safety, tax consequences, and completion of any off-platform payment.

9. GROUPS AND COMMUNICATIONS

SwapMingle may allow users to participate in Groups, messages, comments, reactions, and other community features.

You are responsible for the content you communicate through these features.

Group creators or administrators may have tools to manage membership or content, but SwapMingle does not guarantee continuous moderation of every Group or conversation.

10. REVIEWS AND RATINGS

Reviews and ratings should reflect genuine experiences.

You may not submit fraudulent reviews, manipulate ratings, coordinate false feedback, or use reviews to harass another user.

SwapMingle may remove reviews or ratings that violate these Terms or applicable policies.

11. REPORTING AND BLOCKING

SwapMingle provides tools that may allow users to report content or other users and to block other users.

We may investigate reports and take action we consider appropriate, including removing content, limiting features, suspending accounts, or cancelling accounts.

We are not obligated to disclose internal moderation decisions or investigations except where required by law.

12. INTELLECTUAL PROPERTY

SwapMingle and its software, branding, designs, logos, interfaces, and other materials provided by us are owned by SwapMingle or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of SwapMingle intellectual property to you.

You may not copy, reproduce, distribute, reverse engineer, sell, license, or exploit SwapMingle intellectual property except as permitted by law or with our written permission.

13. COPYRIGHT COMPLAINTS

If you believe content on SwapMingle infringes your copyright or other intellectual-property rights, contact:

Please provide sufficient information to identify the material, describe your rights, and allow us to evaluate your request.

14. PRIVACY

Our collection and use of information is described in the SwapMingle Privacy Policy:

By using SwapMingle, you acknowledge our Privacy Policy.

15. ACCOUNT DEACTIVATION AND CANCELLATION

You may have the ability to deactivate or permanently cancel your account through SwapMingle.

Deactivation does not necessarily delete your information.

Permanent account cancellation removes your authentication account and substantial portions of associated data, but some information may remain where necessary to preserve interactions involving other users, safety records, reports, reviews, messages, completed exchanges, legal obligations, or the integrity of the Service.

16. SUSPENSION OR TERMINATION

We may restrict, suspend, or terminate access to SwapMingle if we reasonably believe a user has:

• violated these Terms;
• violated applicable law;
• created risk or harm to users or the Service;
• engaged in fraud, abuse, or misuse; or
• compromised the security or integrity of SwapMingle.

17. SERVICE AVAILABILITY

SwapMingle may change, suspend, update, or discontinue features at any time.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

18. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAPMINGLE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY OTHERWISE APPLY.

SWAPMINGLE DOES NOT GUARANTEE THE IDENTITY OR CONDUCT OF USERS, THE ACCURACY OF USER CONTENT, THE QUALITY OR LEGALITY OF ITEMS, OR THE SUCCESS OR SAFETY OF AN EXCHANGE.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAPMINGLE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR INTERACTIONS WITH OTHER USERS.

Nothing in these Terms excludes liability that cannot legally be excluded.

20. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless SwapMingle and its affiliates from claims, damages, losses, liabilities, and expenses arising from:

• your misuse of the Service;
• your User Content;
• your violation of these Terms;
• your violation of another person’s rights; or
• an exchange or interaction between you and another user.

21. CHANGES TO THESE TERMS

We may update these Terms as SwapMingle evolves.

If these Terms change, we will update the Effective Date above.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

22. GOVERNING LAW

These Terms are governed by the laws applicable to SwapMingle’s operator, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

23. APPLE APP STORE TERMS

If you downloaded SwapMingle through Apple’s App Store, you acknowledge that:

• these Terms are between you and SwapMingle, not Apple;
• Apple is not responsible for the SwapMingle application or its content;
• Apple has no obligation to provide maintenance or support services for SwapMingle; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms where required by Apple’s applicable terms.

Apple’s Standard Licensed Application End User License Agreement may also apply to your use of the application.
